attached as Exhibit A, and any subsequent versions thereof which Licensee may <br /> receive from Company. <br /> "Intellectual Property Rights" means all intellectual property rights protected <br /> by law throughout the world, including all copyrights; copyright registrations and <br /> applications, trademark rights (including trade dress); trademark registrations and <br /> applications patent rights (including the right to apply therefore), patent <br /> applications (including the right to claim priority under applicable international <br /> conventions), and all patents issuing thereon, industrial property rights, inventions <br /> (whether or not patentable); together with all utility and design, know-how, <br /> specifications, trade names, mask-work rights trade secrets, moral rights, author's <br /> rights, algorithms, rights in packaging, goodwill, and other intellectual and <br /> industrial property rights, as may exist now and hereafter come into existence, and <br /> all renewals and extensions thereof, regardless of whether any of such rights arise <br /> under the laws of the United States or any other country or jurisdiction. <br /> "Licensed Work" means the Software, Documentation and Deliverables. <br /> "Professional Services" means those services specified in the Statement of <br /> Work, Exhibit A. <br /> "Statement of Work" means that document identified and attached as Exhibit <br /> A and that (a) specifically refers to this Agreement and (b) defines additional rights <br /> and obligations of the parties with respect to the Software Documentation, <br /> Deliverables or Professional Services. In the event of a conflict between the <br /> provisions of this Agreement and the provisions of the Statement of Work (Exhibit <br /> A), the provision of this Agreement will control. <br /> "Software" means the computer software programs to be delivered to the <br /> Licensee as more fully set forth in the Statement of Work (Exhibit A), in electronic, <br /> hardcopy, or any other format, whether in the form of executable files, source code, <br /> or in verbal or written descriptions of these software programs design, use and <br /> architecture. <br /> "Trading Partner(s)" means a limited number of entities authorized by <br /> Licensee to access and use the Licensed Work, as set forth in the Statement of Work. <br /> 2 <br />
