2. LICENSE GRANTS AND RESTRICTIONS <br /> 2.1 Subject to the terms of this Agreement, Company grants to Licensee a <br /> non-exclusive `Licensee to Use" as set forth in this document, and Exhibit A, <br /> Statement of Work, attached thereto. <br /> 2.2 Except as expressly set forth in this Agreement or the Statement of Work <br /> (Exhibit A), Licensee may not: <br /> (i) decompile, disassemble, or otherwise reverse engineer or attempt <br /> to reconstruct or discover, in any way, any source code, programming, <br /> algorithms, design structure, interoperability interfaces, concepts, <br /> construction methods underlying ideas, or file formats of the Licensed <br /> Work for any purpose, (ii) remove any identification markings, <br /> including but not limited to logos, copyright notices, and trademarks, <br /> from the Licensed Work, or (iii) make any modification, enhancement, <br /> or Derivative Work of the Licensed Work or incorporate the Licensed <br /> Work or any portion thereof into or with any other software. <br /> (ii) copy, sell, lease, assign, distribute or transfer in any manner or <br /> form in whole or in part the Licensed Work; or <br /> (iii) use the Licensed Work to develop or distribute any software <br /> product that competes in the marketplace with the Software. <br /> Notwithstanding the foregoing, Licensee may make copies of the <br /> Documentation, containing all legends, trademarks, trade names, copyright notices <br /> and other identifications associated with the original, to the extent reasonable <br /> necessary to permit access to and use of the Documentation by Trading Partners. <br /> 2.3 Except as specifically set forth in this Agreement, Licensee acknowledges <br /> that this Agreement does not grant Licensee any use or rights to the Licensed Work, <br /> including but not limited to any rights to the source code for the Licensed Work. <br /> 2.4 Licensee acknowledges that Company has, and will from time to time, <br /> create, license, evaluate, or implement other computer software programs that may <br /> be based upon or related to the Software or Deliverables and that those other <br /> programs are not licensed to Licensee under this Agreement, except as specifically <br /> set forth in the Statement of Work (Exhibit A). <br /> 2.5 Except as specifically set forth in the Statement of Work, Exhibit A <br /> thereto; Licensee acknowledges that Company has no responsibility for providing <br /> 3 <br />
