claims, demands, costs or expenses including the cost of reasonable attorneys <br /> fees for the defense thereof, arising from or in connection with any negligent, <br /> grossly negligent, or willful acts related to this Agreement of the District, its <br /> employees, officers, directors, agents or officials, provided that said claims, <br /> demands, costs and expenses have not been directly or proximately caused by <br /> the negligence of misconduct of the police officers or other City employees, <br /> officials, or officers. <br /> 8. No Waiver of Tort Immunity Defenses. Nothing contained in this <br /> Agreement, is intended to constitute nor shall constitute a waiver of the defenses <br /> available to the City and the District under the Illinois Local Governmental and <br /> Governmental Employees Tort Immunity Act, with respect to claims by third <br /> parties. <br /> 9. Term. This Agreement shall be and remain in effect from the effective <br /> date specified in paragraph 15 below through June 30, 2015 and shall <br /> automatically renew for one (1) year terms thereafter unless notice of termination <br /> is served by one (1) party on the other by May 15th of the year prior to the <br /> commencement of a District school year. <br /> 10. Counterparts. This Agreement may be executed in counterparts. <br /> 11. Mutual Assistance. The parties shall do all things necessary or <br /> appropriate to carry out the terms and provisions of this Agreement and to aid <br /> and assist each other in furthering the objectives of this Agreement and the intent <br /> of the parties as reflected by the terms of the Agreement. <br />
