5. Compensation. The District shall pay to City a sum equal to Seventy- <br /> Five Percent (75%) of the total cost for each and every police officer assigned <br /> under this Agreement. Said payment shall be remitted to the City quarterly within <br /> thirty (30) days following written request by the City detaling the charges. <br /> 6. Compliance with District Policies and Laws. The police officers shall <br /> comply with all applicable State, City and City Police Department laws, statutes, <br /> Codes, ordinances, rules and policies and all District policies in regard to the <br /> performance of their duties. If any City or Police Department rules, policies or <br /> procedures are in conflict with District policies, the City and Police Department <br /> rules, policies and procedures shall supercede and be followed by the Police <br /> officers. <br /> 7. Indemnification. <br /> A. _City Indemnification. The City shall and hereby does indemnify and <br /> hold harmless the District and its agents and employees against any claims, <br /> demands, costs or expenses including the cost of reasonable attorneys fees for <br /> the defense thereof, arising from or in connection with any negligent, grossly <br /> negligent, or willful acts related to this Agreement of the police officers or other <br /> City employee, official or officer, provided that said claims, demands, costs and <br /> expenses have not been directly or proximately caused by the negligence or <br /> misconduct of the District, its employees, officers, directors, agents, officials or <br /> employees. <br /> B. District Indemnification. The District shall and hereby does indemnify <br /> and hold harmless the City and its officers, agents, and employees against any <br />
