"Final Site Plan" means the final plan of the Police Facility or separate and distinct
<br /> functional phases or part thereof which sets forth the limits of the work to be done, the
<br /> building locations,ingress and egress,loading areas,parking,if any,landscaping, signage
<br /> and adjoining streets including one or more elevations or sketches showing the exterior
<br /> features and designs of all the buildings or structures.
<br /> "Governmental Authority" means any agency, authority, board, branch, division,
<br /> department or similar unit of any Federal, state, county or municipal or other
<br /> governmental entity having jurisdiction over or validly imposing requirements on the
<br /> City,Redeveloper,the Police Facility and the Police Facility Site.
<br /> "Hazardous Materials" means any substance, material, waste, gas or particulate matter
<br /> which is regulated by any local, state or federal governmental authority, including, but
<br /> not limited to (i) petroleum, (ii) asbestos, (iii) polychlorinated biphenyl, (iv) radioactive
<br /> materials, and (v) any other material or substance which is defined as a "hazardous
<br /> waste", "hazardous material", "hazardous substance", "extremely hazardous waste", or
<br /> "restricted hazardous waste" under any statute, rule or regulation of any jurisdiction
<br /> including without limitation Section 311 of the Clean Water Act, Section 1004 of the
<br /> Resource Conservation and Recovery Act, and Section 101 of the Comprehensive
<br /> Environmental Response,Compensation,and Liability Act.
<br /> "Impositions" shall mean all taxes, assessments, use and occupancy taxes, charges,
<br /> excises, license and permit fees, and other charges by public or governmental authority,
<br /> general and special, ordinary and extraordinary, foreseen and unforeseen, which are or
<br /> may be assessed, charged, levied,or imposed by any public or governmental authority on
<br /> the Police facility or any portion thereof.
<br /> "Lease" means the Lease, in the form attached hereto as Exhibit 2 and made a part
<br /> hereof, between the Redeveloper as the "Landlord" and the City as "Tenant'with regard
<br /> to the Police Facility and the Police Facility Site to be entered into by the Redeveloper
<br /> and the City pursuant to Article IV below.
<br /> "Permits" means all licenses,approvals,permits,variances,authorizations, entitlements,
<br /> registrations,and the like required by any Governmental Authority.
<br /> "Plans and Specifications" means the Criteria Document the Final Site Plans, and the
<br /> Construction Plans for the Police Facility as such plans and specifications may be
<br /> amended, modified, restated or supplemented from time to time in accordance with this
<br /> Agreement.
<br /> "Police Facility" means the facility located on the tract shown on Exhibit 1 to be utilized
<br /> by the City of Decatur Police Department which shall include, without limitation,
<br /> approximately forty six thousand three hundred (46,300) gross square feet of offices,
<br /> meeting rooms, laboratories, holding cells and such other facilities as may reasonably be
<br /> required to serve as a modern police operational center pursuant to the plans and
<br /> specifications attached to the Police Facility Lease and made a part hereof.
<br /> "Police Facility Cost Analysis" means the statement of actual or estimated costs and
<br /> expenses of the Police Facility in order to make it available for occupancy including but
<br /> not limited to architectural and engineering design services and related consulting
