then in that event THE CLIENT shall reimburse CURRY, for the same, provided the <br /> nature and amount and circumstance thereof are fully disclosed to and approved by <br /> THE CLIENT prior to the time the same are incurred, and upon receipt of a detailed <br /> accounting of all such extraordinary costs and expenses. <br /> 6. In the event that a possible conflict of interest arises at any time during the term of <br /> this Agreement between the interests of THE CLIENT and those of CURRY'S other <br /> clients, CURRY agrees to notify THE CLIENT thereof promptly and shall, if so directed <br /> by THE CLIENT, refrain from performing Services with respect to such area of <br /> conflicting interest. <br /> 7. CURRY and THE CLIENT agree to comply fully with all applicable federal, state and <br /> local laws regulating political and lobbying activities and each agrees to fully comply <br /> will all applicable laws, decrees, rules, regulations, orders, ordinances, actions and <br /> requests of any federal, state or local government or judicial body, agency or official <br /> pertaining to its performing services. <br /> 8. Upon execution of this agreement both parties agree to immediately comply with <br /> the Illinois Lobbyist Disclosure Act and register their respective <br /> companies/organizations with the Illinois Secretary of State Index Department. <br /> 9. CURRY, will assume full responsibility for and shall indemnify and hold harmless THE <br /> CLIENT from and against any and all losses, claims, liabilities, penalties, fines, causes <br /> of action, damages, costs and expenses arising out of or resulting from any <br /> negligence or wrongful or willful misconduct on the part of CURRY, or any breach by <br /> CURRY, of any of the terms and provisions of this Agreement. <br /> 10. THE CLIENT will assume full responsibility for and shall indemnify and hold harmless <br /> CURRY, from and against any and all losses, claims, liabilities, penalties, fines, causes <br /> of action, damages, costs and expenses arising out of or resulting from any <br /> negligence or wrongful or willful misconduct on the part of THE CLIENT or any <br /> breach by THE CLIENT of any of the terms and provisions of this agreement. <br /> 11. Inasmuch as in the rendering of Services hereunder, CURRY may acquire <br /> confidential information and data concerning the business and operations of, or <br /> belonging to THE CLIENT, and additional information and data will be made available <br /> to or developed by CURRY agrees to treat and maintain all such information and <br /> data as THE CLIENT'S confidential property and not to divulge it to others at any time <br />
