Ownership of Documents: Subject to the Illinois Freedom of Information Act, all documents produced by Dewberry Architects Inc. under this Agreement shall remain the property of Dewberry Architects Inc. and may not be used by the Client for any other endeavor without the written consent of Dewberry Architects Inc. Dewberry Architects Inc.,acknowledge herein that the documents and other underlying documents used in the preparation of any plans or proposals may be subject to the Illinois Freedom of Information Act and agree to produce them in accordance with Client's direction and the law. Interpretation: The law of the state of Illinois shall govern the validity of this Agreement, its interpretation and performance,and any other claims related to it. Insurance: Dewberry Architects Inc.agrees to maintain Professional Liability Coverage in the amount of$2,000,000 during the contract duration. A Certificate of Insurance will be issued to the Client. Dewberry Architects Inc.agrees to provide Worker's Compensation Insurance,General Liability Insurance,and Automobile Insurance in the amount of$1,000,000 with an Excess Umbrella Liability of$1,000,000. The Cleint will be named as an Additional Insured under the General Liability policy. Dewberry Architects Inc.agrees to indemnify and hold harmless the Client,and its officers and its employees, from and against all liability,claims,demands,and expenses, including court costs and attorney fees,on account of any injury, loss or damage which arise out of are in any manner connected with the work to be performed under this Agreement, if such injury, loss,or damage is caused in whole or in part by,or is claimed to be caused in whole or in part by the negligent acts,errors,or omission of Dewberry Architects Inc.,or any officer,employee,or agent of Dewberry Architects Inc. The obligations of this Section shall not apply to damages which the Client shall become liable by final judgment to pay to a third party as the result of the negligent act,error,or omission of the Client. its officers_ employees, or agent of the Client. Hazardous Materials: Dewberry Architects Inc.shall have no responsibility for the discovery, presence,handling, removal or disposal of., or exposure of persons to,hazardous materials or toxic substances in any form at the project site.
