allegations,assertions and/or-demands directed against the City,the mayor of the City,any member <br /> of the Council,or any other person for whom the City would have liability for the acts or omissions <br /> thereof. Nothing contained herein shall constitute a release of <br /> the City to tender, deliver and remit such compensation owed to the Employee in accordance with <br /> the laws of the State of Illinois,including any final paycheck and compensation for any accrued but <br /> unused vacation days. <br /> (c) Non-Renewal. Any action undertaken to effectuate the non-renewal of the <br /> Agreement, whether during the initial term or extension thereof, shall not constitute, and shall not <br /> be interpreted or construed to constitute, a termination of the Agreement such as to permit the <br /> Employee any rights or interests as described within this Section of the Agreement. <br /> 12. Suspension. The City may suspend the Employee with full pay and benefits at any <br /> time durine the term of this Agreement. if a majority of a quorum of the City Council. present at a <br /> public meeting thereof, votes to suspend the Employee,provided however that the Employee shall <br /> have been tendered written notice by the City setting forth any charges or assertions against him at <br /> least ten(10)calendar days prior to such public hearing. At any such public meeting,the Employee <br /> will be permitted to respond to any assertion(s)or allegation(s)advanced against him in a reasonable <br /> manner as permitted by a reasonable time allotment, but nothing herein contained shall compel or <br /> require the Employee to so respond. <br /> 13. The Parties' UnderstandinLy of the Ci 's Responsibilities. The parties hereto <br /> understand that the City seeks to retain the services of highly qualified,professional employees for <br /> the benefit of the City, and that the City further possesses responsibilities to ensure that the budget <br /> for the City's operations remains appropriate under all circumstances associated therewith. For this <br /> reason,the parties acknowledge that each understands the necessary constraints under which the City <br /> operates in entry into the Agreement. <br /> 14. Disability. If the Employee is permanently disabled due to sickness, accident, <br /> injury,mental incapacity or ill health for a period of four(4) successive weeks beyond any accrued <br /> sick leave, the City shall have the option to terminate this Agreement, subject to the severance pay <br /> requirements of§ 9(b) hereof. <br /> Notwithstanding anything to the contrary herein, the City shall comply with all laws <br /> applicable to the City and the Employee's employment therewith should the City elect to terminate <br /> the Agreement due to some disability of the Employee. <br /> -7- <br />
