3. This Agreement shall be automatically and immediately suspended if the franchise or the license of the Livery Company to operate in the City is suspended. No ride provided by the Livery Company during the suspension period shall be eligible for reimbursement. 4. The Livery Company shall be excused for failure to meet its obligations under this Agreement if said failure is caused by reason of acts of God, strikes, labor disputes, or other occurrences over which the Livery Company has no control. MODIFICATION AND ASSIGNMENT This Agreement may be modified from time to time to meet the changing transit needs of the City, or to create greater operating efficiency, or in response to state and federal regulations. 1. Any section of this Agreement may be modified by mutual consent of both parties. 2. The City shall have the right to modify, without the consent of the Livery Company, the Operation Uplift guidelines, operational requirements, cash fares to be collected by the Livery Company, and such other conditions of this Agreement as may be required by changing circumstances, without placing an unreasonable burden on the Livery Company. 3. This Agreement may not be assigned without the prior written concurrence of the City. TERMINATION This Agreement may be terminated under the following conditions: 1. This Agreement shall automatically and immediately terminate if the franchise or the license of the Livery Company to operate in the City is terminated or revoked. 2. One party or the other may elect to terminate this Agreement for convenience. The party wishing to terminate this Agreement shall give notice to the other party in writing of its intention and desire to terminate the same, not less than sixty(60) days prior to the desired date of termination. 3. The City reserves the right to terminate this Agreement prior to the time specified herein if there is a reduction or loss of federal or state funding that supports Operation Uplift. The City shall notify the Livery Company in writing of its intention and desire to terminate the Agreement not less than thirty(30) days prior to the desired date of termination. In connection with this Agreement,the Livery Company shall not discriminate against any employee or applicant for employment because of race, religion, color, sex,national origin or disability.
