Intergovernmental Cooperation Agreement <br /> South Shores Bridge Replacement Project <br /> 8. INDEMNIFICATION <br /> The CITY agrees to indemnify and hold the DISTRICT, its agents, officials, and <br /> employees harmless of any and all claims, losses, attorney fees, and defense costs arising <br /> out of work done by the contractor in the execution of the contract for said project. <br /> 9. DEFAULT OF AGREEMENT <br /> In case of default,the DISTRICT agrees to pay all expenses,attorney fees and <br /> associated costs that the CITY may incur in enforcing the terms of this agreement. <br /> 10. BINDING COMMITMENT <br /> The DISTRICT hereby represents and warrants that,to the extent provided by law;this <br /> Agreement shall be fully binding upon the DISTRICT,and its successors and assigns, for the <br /> entire term thereof. <br /> 11. TERMINATION OF INTFRGOVERNMENrAL COOPERATION AGREEMENT <br /> This agreement may be terminated upon any one of the following: <br /> a)By mutual agreement of both parties,or <br /> b)By payment in full by the CITY on remaining contract balance. <br /> AGREE - 3 <br />
