AGREEMENT BETWEEN CITY OF DECATUR,ILLINOIS AND LAYNE CHRISTENSEN COMPANY This AGREEMENT is made on and entered into this 21" day of February, 2012 by and between the City of Decatur, Illinois, an Illinois Municipal Corporation (hereinafter referred to as "City") and Layne Christensen Company(hereinafter referred to as "Layne Christensen"). WHEREAS, the City owns a Water Well located in Piatt County near Cisco, Illinois, and; WHEREAS, said equipment is in need of inspection, repair, and maintenance performed, and; WHEREAS, the City desires to engage the services of Layne Christensen to inspect, repair and perform maintenance on said equipment. NOW THEREFORE, in consideration of the mutual promises and mutual covenants and obligations of the parties contained herein, and other good and valuable consideration, the receipt and sufficiency whereof are hereby acknowledged, set out herein, the City and Layne Christensen, intending to be legally bound, mutually agree to the following terms and conditions. Section A. DUTIES OF LAYNE CHRISTENSEN 1. Layne Christensen agrees to perform all of the services set forth in the October 28, 2011 Report on Inspection Results and Repair Cost Estimates, attached hereto, marked Exhibit A and incorporated herein by reference. 2. Layne Christensen agrees to provide all engineers, technicians, equipment, travel and expenses necessary to fully complete the work outlined in this Agreement. Section B. LOCATION AND TIME 1. All work to be performed by Layne Christensen under this Agreement shall be performed at the location of the Water Well located in Piatt County near Cisco, Illinois and shall be completed no later than June 1, 2012. 2. The parties agree that time is of the essence of this Agreement. Section C. DUTIES OF CITY 1. The City agrees to provide Layne Christensen access to the Water Well site. 1
