Section D. COMPENSATION <br /> 1. The City shall pay to Layne Christensen a sum not to exceed Forty Thousand Dollars <br /> and No Cents ($40,000.00) for performance of the services by Layne Christensen as <br /> set forth above in Section A(1). <br /> 2. Any additional labor required to implement any repairs or work outside of the work <br /> outlined in this Agreement shall be performed only at the City's written direction and <br /> authorization. <br /> 3. Written direction and authorization by the City may only be made by the Decatur City <br /> Council in order for said work or order to be lawfully authorized. <br /> Section E. TERMINATION <br /> 1. The City may cancel this Agreement at any time due to the failure of Layne <br /> Christensen to perform any portion thereof. In such event, the City shall pay Layne <br /> Christensen only for that work actually performed. <br /> Section F. CONFLICT OF INTEREST <br /> 1. Layne Christensen certifies that to the best of its knowledge, no person associated <br /> with Layne Christensen has any interest that would conflict in any manner or degree <br /> with the performance of this Agreement. <br /> Section G. INDEMNITY AND HOLD HARMLESS <br /> 1. Layne Christensen shall indemnify, defend, save and hold harmless the City, its <br /> officers, employees, directors and agents, in both their individual and official <br /> capacities, from any and all liability, losses, attorneys' fees or other costs of defense, <br /> expenses, demands, claims, damages, proceedings or causes of action of any kind or <br /> nature, including but not limited to those pertaining to any federal or state <br /> environmental statutes or regulations that the City may suffer, incur, sustain or <br /> become liable for due to any injury to, or death of, any person or damage to any real <br /> or personal property, to the extent resulting from or arising out of Layne <br /> Christensen's negligent performance of its duties and obligations under this <br /> Agreement. <br /> Section H. INSURANCE <br /> 1. Layne Christensen shall obtain and carry, and have in effect at all times during the <br /> performance of any and all work under this Agreement, comprehensive general <br /> liability and property damage insurance in an amount of not less than $1,000,000 <br /> single limit, $2,000,000 aggregate, for bodily injury, death and property damage to <br /> any one person and subject to the same limitations for any one occurrence. The <br /> comprehensive general liability shall include coverage for premises and operations, a <br /> blanket contractual liability coverage which includes the indemnification agreement, <br /> broad form property damage, independent contractors and personal injury liability <br /> coverage.
