a <br /> Master Services Agreement <br /> For Decatur Area Brownfields Project <br /> This Master Services Agreement ("Agreement") is made as of the C oj/ day4 2 12 by <br /> and between City of Decatur, ("CLIENT"), and Fehr-Graham & Associates, LLC ("FGA") ori ivisions, <br /> relating to specific environmental services to be provided from time to time. <br /> Recitals <br /> 1. CLIENT has received two United States Environmental Protection Agency (USEPA) Brownfield <br /> Petroleum Assessment and Hazardous Substance Assessment Grants in the amount of $200,000 each to <br /> undertake community wide environmentally related activities in Decatur, IL. <br /> 2. CLIENT has formed a Brownfields Selection Committee comprising of various departments of the City, <br /> County, Economic Development Corporation, Chamber of Commerce, University of Illinois and local non- <br /> profit organizations to oversee grant related activities. <br /> 3. CLIENT has implemented a competitive qualification process, which resulted in the receipt of proposals <br /> and qualifications from ten (10) firms who indicated they were qualified to provide the contracted <br /> environmental services required in the grant. Four (4) of the most qualified firms were interviewed by the <br /> Brownfields Selection Committee. <br /> 4. CLIENT desires to retain FGA, as selected by the Brownfield Selection Committee, as the best qualified <br /> to meet the needs of the City, to provide consulting services and assist with completing both Petroleum <br /> Assessment and Hazardous Substance Assessment Grant activities as outlined in the approved Work Plan <br /> (Attached). <br /> 5. FGA is qualified to provide the desired services and desires to provide such services, all subject to the <br /> terms and conditions contained in this Agreement. <br /> Agreement <br /> In consideration of the foregoing and the mutual promises contained in this Agreement, the parties agree as <br /> follows: <br /> Section 1 : Services/Scope of Services <br /> 1.1 All services provided by FGA under this Agreement shall be provided pursuant to the approved <br /> Work Plan in accordance with the Cooperative Agreement (CA) between the City and USEPA <br /> (Attached). The services described in the Work plan may be modified if deemed necessary by the <br /> CLIENT or FGA with the approval of USEPA. <br /> Section 2 : Term <br /> 2.1 The USEPA grant term ends September 30, 2014. This Agreement shall be in effect from the date <br /> last signed until the end of the grant and shall be terminated pursuant to Section 6. This Agreement shall <br /> be reviewed and updated in writing as needed on an annual basis. <br /> Section 3 : Compensation <br /> 3.1 CLIENT shall compensate FGA for services and other charges, expenses, and disbursements <br /> according to the budget section of the Work Plan for a total cost not to exceed $190,170.00 for <br /> Hazardous Substance Site Assessments, and $192,250.00 for Petroleum Product Site Assessments.
