WHEREAS, the City held a public hearing pursuant to Section 147(f) of the Internal <br /> Revenue Code of 1986, as amended (the "Code"), on November 1, 2010; <br /> NOW, THEREFORE, BE IT ORDAINED by the Council of the City of Decatur, Macon <br /> County, Illinois ("this Council"), as follows: <br /> Section 1. That the City is a home rule unit under the provisions of the 1970 <br /> Constitution of Illinois and, as a home rule unit, may, under the powers granted by Section 6(a) <br /> of Article VII thereof, "exercise any power and perform any function pertaining to its <br /> government and affairs." That this Ordinance is adopted pursuant to the City's home rule <br /> powers and in accordance with the Enabling Ordinance, any provisions contained in the Illinois <br /> Municipal Code to the contrary notwithstanding. <br /> Section 2. That in order to obtain the funds to loan to the Hospital to be used for the <br /> Financing Purposes, the City hereby authorizes the issuance of the Series 2010 Bonds; the Series <br /> 2010 Bonds shall be issued under and secured by and shall have the terms and provisions set <br /> forth in the Bond Indenture and shall be in an aggregate principal amount not exceeding <br /> $21,000,000; the Series 2010 Bonds may be issued in one or more series, as set forth in the Bond <br /> Indenture; the Series 2010 Bonds shall have a final maturity date not later than January 1, 2021 <br /> and shall bear interest at 3.99% for the first five years (and thereafter at a rate calculated as the <br /> sum of the 5-year interest rate index of Hickory Point Bank & Trust, fsb (Federal Home Loan <br /> Bank of Chicago rate) plus 2.75%, multiplied by 0.69 (with a floor of 3.99%); the Series 2010 <br /> Bonds shall be subject to optional and extraordinary redemption and shall be payable, all as set <br /> forth in the Bond Indenture; and the Series 2010 Bonds shall be issued only as fully registered <br /> bonds without coupons. <br /> Section 3. That the form, terms and provisions of the proposed Purchase Contract be, <br /> and they hereby are, in all respects approved, and that the Mayor and the Clerk of the City be, <br /> and they hereby are, authorized, empowered and directed to execute, acknowledge and deliver <br /> the Purchase Contract in the name and on behalf of the City, and thereupon to cause the Purchase <br /> Contract to be placed in the official records of the City and available for public inspection at the <br /> office of the City; that the Purchase Contract is to be in substantially the form of such Purchase <br /> Contract now before this meeting and hereby approved, or with such changes therein as shall be <br /> approved by the officials of the City executing the same, their execution thereof to constitute <br /> conclusive evidence of their approval and this Council's approval of any and all changes or <br /> revisions therein from the form of the Purchase Contract now before this meeting; and that from <br /> and after the execution and delivery of the Purchase Contract, the officials, agents and employees <br /> of the City are hereby authorized, empowered and directed to do all such acts and things and to <br /> execute all such documents as may be necessary to carry out and comply with the provisions of <br /> the Purchase Contract as executed. <br /> Section 4. That the form, terms and provisions of the proposed Loan Agreement be, <br /> and they hereby are, in all respects approved, and that the Mayor and the Clerk of the City be, <br /> and they hereby are, authorized, empowered and directed to execute, acknowledge and deliver <br /> the Loan Agreement in the name and on behalf of the City, and thereupon to cause the Loan <br /> Agreement to be placed in the official records of the City and available for public inspection at <br /> the office of the City; that the Loan Agreement is to be in substantially the form of such Loan <br /> CHI-1772777x4 <br />
