Agreement now before this meeting and hereby approved, or with such changes therein as shall <br /> be approved by the officials of the City executing the same, their execution thereof to constitute <br /> conclusive evidence of their approval and this Council's approval of any and all changes or <br /> revisions therein from the form of the Loan Agreement now before this meeting; and that from <br /> and after the execution and delivery of the Loan Agreement, the officials, agents and employees <br /> of the City are hereby authorized, empowered and directed to do all such acts and things and to <br /> execute all such documents as may be necessary to carry out and comply with the provisions of <br /> the Loan Agreement as executed. <br /> Section 5. That the form, terms and provisions of the proposed Bond Indenture be, <br /> and they hereby are, in all respects approved, and that the Mayor and the Clerk of the City be, <br /> and they hereby are, authorized, empowered and directed to execute, acknowledge and deliver <br /> the Bond Indenture in the name of and on behalf of the City, and thereupon to cause the Bond <br /> Indenture to be placed in the official records of the City and available for public inspection at the <br /> office of the City and to be delivered to the Bond Trustee; that the Bond Indenture is to be in <br /> substantially the form of such Bond Indenture now before this meeting and hereby approved, or <br /> with such changes therein as shall be approved by the officials of the City executing the same, <br /> their execution thereof to constitute conclusive evidence of their approval and this Council's <br /> approval of any and all changes or revisions therein from the form of the Bond Indenture now <br /> before this meeting; and that from and after the execution and delivery of the Bond Indenture, <br /> the officials, agents and employees of the City are hereby authorized, empowered and directed to <br /> do all such acts and things and to execute all such documents as may be necessary to carry out <br /> and comply with the provisions of the Bond Indenture as executed. <br /> Section 6. That the form, terms and provisions of the proposed Supplemental Master <br /> Indenture be, and they hereby are, in all respects approved, and that the execution, <br /> acknowledgment and delivery of the Supplemental Master Indenture in the name and on behalf <br /> of the Hospital is hereby approved; that the Supplemental Master Indenture is to be in <br /> substantially the form of such Supplemental Master Indenture now before this meeting and <br /> hereby approved, or with such changes therein as shall be approved by the officials of the City <br /> executing the Loan Agreement, their execution of the Loan Agreement to constitute conclusive <br /> evidence of their approval and this Council's approval of any and all changes or revisions in the <br /> Master Indenture from the form of the Supplemental Master Indenture now before this meeting. <br /> Section 7. That the form, terms and provisions of the proposed Tax Exemption <br /> Agreement be, and they hereby are, in all respects approved, and that the Mayor or the Treasurer <br /> of the City be, and each of them hereby is, authorized, empowered and directed to execute, <br /> acknowledge and deliver the Tax Exemption Agreement in the name and on behalf of the City; <br /> that the Tax Exemption Agreement is to be in substantially the form of such Tax Exemption <br /> Agreement now before this meeting and hereby approved, or with such changes therein as shall <br /> be approved by the Mayor or the Treasurer, the execution thereof to constitute conclusive <br /> evidence of either's approval and this Council's approval of any and all changes or revisions <br /> therein from the form of the Tax Exemption Agreement now before this meeting; and that from <br /> and after the execution and delivery of the Tax Exemption Agreement, the officials, agents and <br /> employees of the City are hereby authorized, empowered and directed to do all such acts and <br /> things and to execute all such documents as may be necessary to carry out and comply with the <br /> provisions of the Tax Exemption Agreement as executed. <br /> CHI-1772777v4 <br />
