2010-76 AUTHORIZING ISSUANCE OF HOSPITAL FACILITY REVENUE BONDS

Section 8. That the pledge by the City to the Bond Trustee under the Bond Indenture of the Series 2010 Obligations and certain of the rights of the City under the Loan Agreement is hereby approved; such Series 2010 Obligations shall be in such form as is approved by the officials of the City executing the Loan Agreement, with such execution to constitute conclusive evidence of such officials' and this Council's approval of the respective form of the Series 2010 Obligations. Section 9. That the Mayor and the Clerk of the City be, and they hereby are, authorized, empowered and directed to cause the Series 2010 Bonds to be prepared in such form and having the other terms and provisions specified in the Bond Indenture (as executed and delivered), provided that such Series 2010 Bonds shall bear interest at the rates and mature not later than the date set forth above; that the Series 2010 Bonds shall be executed in the name of the City with the facsimile or manual signatures of the Mayor and the Clerk of the City, and the seal of the City may be affixed thereto or imprinted thereon; and that the Mayor or the Clerk of the City shall cause the Series 2010 Bonds, as so executed and attested, to be delivered to the Bond Trustee for authentication, and the Bond Trustee is hereby requested to authenticate the Series 2010 Bonds and deliver them to or as directed by the Purchasers; that the Mayor and the Clerk of the City are hereby authorized to proceed not later than the 31St day of December, 2010 without any further authorization or direction from the Council of the City to sell and deliver the Series 2010 Bonds upon the terms as prescribed in this Ordinance; and that such Series 2010 Bonds, and the interest and premium, if any, payable thereon, are special and limited obligations of the City payable solely from payments on the Series 2010 Obligations and under the Loan Agreement and from certain other moneys held under the Bond Indenture, that such Series 2010 Bonds do not constitute a debt of the City within the meaning of the provisions of the Constitution or Statutes of the State of Illinois or a pledge of the faith and credit of the City, the State or any political subdivision thereof, and that such Series 2010 Bonds and the interest and premium, if any, payable thereon do not give rise to a pecuniary liability of the City or a charge against its general credit or taxing powers. Section 10. That the form of the Series 2010 Bonds contained in the Bond Indenture, subject to appropriate insertions and revisions in order to comply with the provisions of the Bond Indenture be, and the same hereby is, approved, and when the same shall be executed on behalf of the City in the manner contemplated by the Bond Indenture and this Ordinance, it shall represent the approved form of the Series 2010 Bonds. Section 11. That the actions of the Mayor, the Clerk of the City and the Council of the City heretofore taken in connection with the Series 2010 Bonds are hereby ratified, confirmed and approved. Section 12. That from and after the execution and delivery of said documents, the proper officials, agents and employees of the City are hereby authorized, empowered and directed to do all such acts and things and to execute all such documents as may be necessary to carry out and comply with the provisions of said documents as executed, and to further the purposes and intent of this Ordinance, including the preambles hereto. Section 13. That all acts and doings of the officials of the City which are in conformity with the purposes and intent of this Ordinance and in furtherance of the issuance of the Series CHI-17727770
