10. CONTRACT CHANGES <br /> Any changes to this Agreement, including any changes to the scope of work, schedule, or <br /> increase or decrease in the amount of Easter Seals' compensation, which are mutually agreed <br /> upon between the City and Easter Seals, shall be incorporated in written amendments to this <br /> Agreement. <br /> 11. RIGI3TS TO AND DISPOSITION OF RECORDS <br /> All records, including applications, data, findings, written materials, or other information <br /> prepared by or furnished to Easter Seals pursuant to eligibility determinations performed under <br /> this Agreement shall become the property of the City. <br /> 12. TERMINATION OF AGREEMENT <br /> The City or Easter Seals may elect to terminate this Agreement for convenience. The party <br /> wishing to terminate this Agreement shall give notice to the other party in writing of its intention <br /> and desire to terminate the same, not less than sixty (60) days prior to the desired date of <br /> termination. The City reserves the right to terminate this Agreement with only thirty (30) days <br /> prior written notice if the federal or state funding that supports Operation Uplift is eliminated or <br /> significantly reduced. <br /> In the event of the termination of this Agreement by the City for any reason, Easter Seals shall be <br /> compensated for the work completed and all eligible direct training expenses incurred through <br /> the date of termination. Work that is only partially completed shall become the property of the <br /> City and compensation therefore shall be determined in accordance with the work performed. <br /> Upon termination, Easter Seals shall deliver to the City all records, applications, data, findings, <br /> written materials, or other information prepared by or furnished to Easter Seals concerning <br /> eligibility determinations pursuant to this Agreement, whether then complete or in progress. <br /> 13. THE AGREEMENT AND APPENDICES <br /> This Agreement shall include the following, which are incorporated herein and made a part <br /> hereof: <br /> • Appendix A— Scope of Work <br /> • Appendix B—Required Clauses <br /> • Appendix C—Ineligible Contractor's Certificate and Non-Collusion Disclosure <br /> This Agreement, with said appendices, shall constitute the entire Agreement between the City <br /> and Easter Seals. No terms, provisions, promises, statements or representations not contained <br /> herein shall be binding upon either party. <br /> ********************************* <br /> 3 <br />
