. � . <br /> The amount reimbursed to Easter Seals for eligibility determinations shall be entirely dependent ' <br /> on the number of applicants referred to Easter Seals and the number of eligibility determinations <br /> performed and properly documented. <br /> The City shall also reimburse Easter Seals for direct expenses for ADA training for personnel <br /> assigned to this project, when such training is specified and requested by the City. Eligible <br /> training expenses would include registration fees, travel, lodging and meals. <br /> Compensation shall be paid after the City's receipt of Easter Seals' invoices, prepared in such <br /> form and supported by such documents as the City may reasonably require. Easter Seals shall <br /> submit monthly invoices for work actually performed. All Easter Seals invoices shall be <br /> supported by a statement of costs incurred in accordance with this Agreement, itemized by the <br /> names of applicants for whom eligibility determinations were performed, or itemized by direct <br /> expenses for ADA training. The City shall reimburse Easter Seals by check within 30 calendar <br /> days of receipt of an invoice. <br /> 6. AUDIT AND INSPECTION OF RECORDS <br /> At the request of the City, Easter Seals shall make available all data and records of Easter Seals <br /> and its subcontractors relating to their performance under this Agreement. Easter Seals shall <br /> make these records available at reasonable times during the Ageement period and for at least <br /> three (3) years from the date of final payment. In the event that such audit results in a <br /> determination by the City that costs claimed by Easter Seals are not allowable, Easter Seals shall <br /> refund the City an amount equal to all such unallowable costs. <br /> 7. INDEMNIFICATION <br /> Easter Seals shall indemnify, defend, and hold the City harmless from and against claims, <br /> liabilities, suits; losses, costs, expenses, and damages for injury to or death of persons or damage <br /> to or destruction of property, including, but not limited to, the property of the City arising in <br /> connection with Easter Seals' performance of work pursuant to this Agreement, to the extent <br /> caused by the negligence of Easter Seals or its subcontractors, agents, or employees. <br /> 8. NON-DISCRIMINATION <br /> Easter Seals agrees not to discriminate by reason of age, race, religion, color, sex, national <br /> origin, or handicap unrelated to the duties of a position, of applicants for employment or <br /> employees as to terms of employrnent, promotion, demotion or transfer, recruitment, layoff or <br /> termination, compensation, selection for training, or participation in recreational and educational <br /> activities. Further, Easter Seals agrees to follow all required Equal Employrnent Opportunity <br /> procedures imposed by the City. <br /> 9. REQUIRED CLAUSES <br /> Easter Seals shall abide by all of the terms and conditions detailed in the "Required Clauses" <br /> contained in Appendix B. These Required Clauses shall be included in any sub-contract issued <br /> by Easter Seals to another firm to perform work under this Agreement. <br /> 2 <br />
