- • , <br /> AGREEMENT <br /> BETWEEN <br /> THE CITY OF DECATUR, IL <br /> AND <br /> EASTER SEALS CENTRAL ILLINOIS, INC. <br /> THIS AGREEMENT is made and entered into by and between THE CITY OF DECATUR, IL <br /> (hereinafter referred to as the "City") and EASTER SEALS CENTRAL ILLINOIS, INC. <br /> (hereinafter referred to as "Easter Seals"): <br /> 1. SCOPE OF SERVICES <br /> Easter Seals shall provide rider eligibility determination services on an ongoing basis for persons <br /> with disabilities who apply for door-to-door paratransit services under the City's Operation <br /> Uplift program. The complete description of services to be provided is included in Appendix A, <br /> "Scope of Work,"which is attached to and made a part of this Agreement. <br /> 2. COMMENCEMENT AND TERM <br /> This Agreement shall become and be effective beginning on May 1, 2010 and shall continue in <br /> effect through April 30, 2015, or until one party or the other shall give notice of its intention and <br /> desire to terminate the same, not less than sixty(60) days prior to the desired date of termination. <br /> 3. PERSONNEL <br /> All services provided by Easter Seals under this Agreement shall be performed by fully qualified <br /> and trained personnel employed by Easter Seals, which is solely responsible for the hiring and <br /> assignment of personnel to this project. All personnel assigned to the project shall have received <br /> Americans with Disabilities Act (ADA) training as specified by the City. The City shall not <br /> reimburse Easter Seals for the services of personnel who have not received the required training. <br /> 4. NON-ASSIGNMENT <br /> Easter Seals shall not assign nor sublet any of the work to be performed under this Agreement <br /> without the express written consent of the City. Any such assignment or subletting, whether <br /> expressly authorized by this Agreement or done with such consent, shall not relieve Easter Seals <br /> from its responsibility for the performance of its work hereunder in accordance with the terms <br /> hereof nor from its responsibility for the performance of any other of its obligations hereunder. <br /> 5. COMPENSATION AND METHOD OF PAYMENT <br /> The City shall reimburse Easter Seals for each eligibility determination performed and properly <br /> documented. The amount paid for each eligibility determination will be: <br /> • $50.00 for each eligibility determination performed during months 1 through 24; and <br /> • $60.00 for each eligibility determination performed during months 25 through 60. <br /> 1 <br />
