. �� � <br /> AGREEMENT BETWEEN <br /> CITY OF DECATUR, ILLINOIS <br /> AND <br /> TESKA ASSOCIATES, INC. <br /> This AGREEMENT is made on and entered into this 1 stday of March Zo10 by and between the City <br /> of Decatur,an Illinois Municipal Corparation with offices at#1 Gary K Anderson Plaza,Decatur,IL, <br /> hereinafter referred to as the "CLIENT",and Teska Associates, Inc.,an Illinois Corporation with offices at 627 <br /> Grove Street,Evanston,Illinois 60201,hereinafter referred to as the "CONSULTANT". <br /> WITNESSETH: <br /> WHEREAS,the CLIENT desires to engage the services of the CONSULTANT to furnish professional and <br /> technical assistance in connection with a Sustainability Plan for the City of Decatur,Illinois, hereinafter <br /> referred to as the"PROGRAM", and the CONSULTANT has signified its willingness to fumish professional <br /> and technical services to the CLIENT. <br /> NOW THEREFORE,the parties hereto do mutually agree as follows: <br /> A. Scope of Consultant's Services <br /> The CONSULTANT agrees to commence work upon execution of this AGREEMENT,and to fully <br /> perform those services in Attachment A, Scope of Services,a copy of which is attached hereto and <br /> incorporated in this AGREEMENT,and optional Attachment B in accordance with Section C below. <br /> B. Subconsultant <br /> The Center for Neighborhood Technology(CNT),with offices at 2125 West North Avenue,Chicago,IL <br /> is a SUBCONSULTANT to this Agreement and shall be assigned tasks for completion of the scope of <br /> work. <br /> C. Consultant's Compensation <br /> For services to be rendered under Attachment 1, Scope of Services,of this agreement CLIENT shall pay <br /> CONSULTANT a fee not to exceed$50,000(fifty thousand dollars). These fees shall cover all <br /> professional and technical work undertaken in the performance of Attachment 1 of this Agreement by the <br /> CONSULTANT. This fee shall be budgeted per phase of work as outlined below: <br /> Phase 1: $11,000 <br /> Phase 2: $5,000 <br /> Phase 3: $17,000 <br /> Phase 4: $12,000 <br /> Phase 5: $5,000 <br /> The CONSULTANT and CLIENT may agree to adjust the budget of phases as long as the total services <br /> as outlined in Attachment 1 does not exceed the total budget of$50,000. <br /> All tasks identified as"optional"services in Attachment B will be performed only in response to written <br /> 1 <br />
