2. Decatur shall deliver the USB Drive to Macon County for data loading and retrieve <br /> the device when data loading is complete. <br /> 3. Decatur shall not sell, lease or redistribute the dataset to third parties without written <br /> permission from Macon County, unless required to do so by law, or where required <br /> pursuant to a contract for services. Decatur may permit public access to portions of <br /> the dataset. <br /> ARTICLE V - FUNDING <br /> Decatur shall pay$15,000 for goods or services under this MOA. Funds for the goods <br /> and services to be provided by Decatur shall be by check payable to the Macon County <br /> Treasurer. <br /> ARTICLE VI - APPLICABLE LAWS <br /> This MOA and all documents and actions pursuant to it shall be governed by the <br /> applicable statutes, regulations, directives, and procedures of the United States, and the State of <br /> Illinois. <br /> ARTICLE VII - BREACH <br /> In the event Decatur fails to pay, Decatur shall promptly return to Macon County all data <br /> provided Decatur pursuant to this MOA, including all copies. In addition, Decatur agrees that <br /> Macon County may seek the remedy of specific enforcement. Macon County shall be entitled to <br /> recover its costs, including reasonable attorney fees, resulting from said breach. <br /> ARTICLE VIII - DISPUTE RESOLUTION <br /> The parties agree that, in the event of a dispute between the parties, Macon County and <br /> Decatur shall use their best efforts to resolve the dispute informally through consultation and ; <br /> communication, and/or other forms of non-binding alternative dispute resolution mutually ' <br /> acceptable to the parties. I� <br /> ARTICLE IX - MISCELLANEOUS <br /> A. Other Relationships or Obligations <br /> This MOA shall not affect any pre-existing or independent relationships or obligations <br /> between Macon County and Decatur. <br /> B.
