. � , The Note shall mature on December 31, 2009, subject to t e right of optional prior redemption hexeinafter stated. Except as provided in Sections 19 and 20 hereof, each Note shall bear interest at the Variable Rate, from the later of its Dated Date as h rein provided or from the most recent interest payment date to which interest has been paid or uly provided for, until the principal amount of such Note is paid or duly provided for, such in erest (computed upon the basis of actual days (365/366) elapsed over a 360-day year) bein payable monthly and at maturity. Notwithstanding the foregoing, no Tax-Exempt Note or Ta able Note shall ever bear interest at a rate exceeding 12% or 17%, respectively. Interest on e ch Note shall be paid by check or draft of the City, payable upon presentation thereof in la ful money of the United States of America, or by electronic funds transfer as may be agreed b the Director of Financial Management and the Bank. The principal of the Note shall be paya le in lawful money of the United States of America upon presentation thereof to the City. �i It is hereby expressly found and determined that the Note d es not mature on a date 'I which is later than December 31 of the year in which the paymen� to the City Treasurer as I,, provided in subsection (b) of Section 11-74.4-8 of the TIF Act is to made with respect to ad valorem taxes levied in the later of (a) the twenty-third calendar ye r in which the ordinance designating the Area was adopted or (b) such later date established in t e TIF Act. The Note shall be registered in the name of and deposited with he Bank. Section S. Execi�tion; Authentication. The Note shall be xecuted on behalf of the City by the manual or facsimile signature of the Mayor, a�ld attested y the manual or facsimile signature of its City Clerk, as they may determine, and shall have impr ssed or imprinted thereon the corporate seal or facsimile thereof of the City. In case any such of icer whose signature shall appear on the Note shall cease to be such officer before the delivery di the Note, such signature shall nevertheless be valid and sufficient for all purposes, the sa e as if such officer had -6-
