Sectiori 16. Pertaining to the Note Registrar. If requested b the Note Registrar or the <br /> Paying Agent, or both, the Designated Officers or the Mayor and Ci y Clerk are authorized to <br /> execute the Note Registrar's or the Paying Agent's standard form of a reement between the City <br /> and the Note Registrar (Paying Agent) with respect to the obligations and duties of such parties I' <br /> hereunder. Subject to modification by the express terms of any uch agreement, the Note <br /> Registrar and Paying Agent for their respective capacities agree as foll ws: <br /> A. to act as note registrar, authenticating agent, payi g agent and transfer agent <br /> as provided herein; <br /> B. to maintain a list of Noteholders as set forth herei and to furnish such list to <br /> the City upon request, but otherwise to keep such list confid ntial to the fullest extent <br /> permitted by law; <br /> C. to cancel and/or destroy Notes which have be n paid at maturity, upon <br /> redemption or submitted for transfer or exchange; <br /> D. to furnish the City at least annually a certific te with respect to Notes <br /> cancelled and/or destroyed; and <br /> E. to furnish the City at least annually an audit c nfirmation of Notes paid, <br /> Notes outstanding and payments made with respect to interest n the Notes. <br /> The City Clerk of the City is hereby directed to file a copy of this Ordinance with the Note <br />' Registrar and Paying Agent. <br /> e ti n 17 er l T i ov n nts an a r es with the Purchaser that <br /> I S c o .
