(b) The City will keep, or cause to be kept, pro er books of record and accounts, separate from all other records and accounts of the C ty, in which complete and correct entries shall be made of all transactions relating to th 2007 Acquisition. Such books of record and accounts shall at all times during busine s hours be subject to the inspection of the Purchaser or its representatives authorized in riting. (c) The City will preserve and protect the security of he Notes and the rights of the registered owners of the Notes. (d) The City will adopt, make, execute and deliver any and all such further ordinances, resolutions, instruments and assurances as may b reasonably necessary or proper to carry out the intention of, or to facilitate the perfor ance of, this Ordinance, and for the better assuring and confirming unto the registered wners of the Notes of the rights and benefits provided in this Ordinance. Section 18. Tcrxable Obligation. Each of the Notes shall be issued as a Taxable obligation. Section 19. Continuing Disclosatre Undertaking. Either the ayor or Finance Officer of the City is hereby authorized, empowered and directed (if applica le) to execute and deliver the Continuing Disclosure Undertaking (the "Continuing Disc sicre Uridertaking") in substantially the same form as now before the Council, or with su h changes therein as the individual executing the Continuing Disclosure Undertaking on behal of the City shall approve, the official's execution thereof to constitute conclusive evidence of the approval of such changes. When the Continuing Disclosure Undertaking is executed and deliver d on behalf of the City as herein provided, the Continuing Disclosure Undertaking will be bi ding on the City and the -24-
