12. If for any reason the property subject to this Agreement shall be sold prior to <br /> completion of the entire affordability period, Owner(s) shall promptly repay <br /> the loan in its entirety, as required under 24 CFR 92.504(c)(3)(vii). <br /> 13. City shall not provide financial assistance for actual costs to rehabilitate the <br /> structure in excess of$20,000 per building. <br /> 14. City shall make no more than one (1) interim and final payment to Owner(s) or <br /> their designee only upon receipt of invoices accompanied by lien waivers, and <br /> after inspection and approval by City that the work is within the scope of this <br /> Agreement, and Owners' proposal. Owner(s) shall provide City fully executed, <br /> binding lien waivers for work performed through date of invoice, in <br /> accordance with applicable provisions of the Illinois Mechanics Lien Act prior <br /> to interim and final payments, as required under 24 CFR 92.504 (c)(3)(viii). <br /> 15. City does not guarantee, and shall under no circumstances be responsible for <br /> work performed by Owner(s) or Owners' contractors or subcontractors. <br /> Owner(s) shall cooperate with all reasonable directives from City to <br /> accomplish the purpose of the rehabilitation project. <br /> 16.To the greatest extent permitted by law, Owner(s) shall indemnify and hold <br /> harmless, the City and its agents, including attorneys fees and other fees and <br /> expenses of dispute and/or litigation, from against all claims, damages, losses <br /> and expenses, including attorney's fees arising out of or resulting from the <br /> rehabilitation work performed on the property. This includes negligent acts or <br /> omissions of the Owner(s), any contractors, agents, subcontractors, and <br /> anyone directly or indirectly employed by any of them. Owner(s) shall <br /> indemnify and hold City harmless for losses attributable to death, bodily injury, <br /> and injury to or destruction of property including the loss of use resulting from <br /> or in its performance of this rehabilitation project. Owner(s) release the City <br /> from any and all liabiliry arising out of or touching upon the giving or failure to <br /> give directions or instructions or any action or lack of action by the City or its <br /> agents. <br /> 17.City shall be under no obligation to reimburse Owner(s) for any work done <br /> prior to City's authorization. <br /> 18. Competitive bids for all rehabilitation work contemplated under this <br /> Agreement shall be sought, and Owner(s), or Owners' General Contractor shall <br /> make every reasonable effort to obtain at least two (2) itemized bids for all <br /> such work. <br /> 19. Owner(s) or Owners' General Contractor shall comply with Title VI of the Civil <br /> Rights Act of 1964, the Fair Housing Act, Section 504, and Executive Order <br /> 11063. CDBG units with a total of 8 or more units and HOME units with a total <br /> of 12 or more units are required to pay wages as required under the Davis- <br /> Bacon Act. Owners or Owners' General Contractor shall comply with all <br /> applicable wage provisions, including but not limited to the Davis-Bacon Act <br /> (40 U.S.C. 276a-27a-5), and shall make reasonable efforts to secure bids from <br /> women and minority contractors. <br /> 20. Owner(s) and Owners' General Contractor shall comply with applicable federal <br /> procurement requirements, and follow Section 3 practices. <br /> 3 <br />
