ARTICLE 5 DESIGNATION OF REPRESENTATIVE <br /> Client shall designate an individual contact person with whom the Consultant will regularly <br /> communicate during the course of the project. Additionally, Che Client may designate an ad hoc group <br /> or committee to wark with the Consultant. <br /> ARTICLE 6 FGES AND PAYMENTS <br /> Client agrees to pay Consultant as follows: ���, <br /> r <br /> A. The total cost of the proposed services will be a lump sum amount o�$100,000.00 as outlined in L J'i����,� <br /> Attachment 3,Fee Schedule. `��� ^�'� �-� ' <br /> � ����� <br /> � <br /> B. Consultant shall submit pay requests periodically, but not more often than once a month, for '., Lt <br /> work completed. Payment is due within 30 days. Late payments will be charged interest at the ` <br /> rate of 1% per month. <br /> ARTICLE 7 ADDITIONAL SERVICES <br /> Any work beyond that outlined in ARTICLE 2 shall have the written authorization of Che Client <br /> before commencement. <br /> AKTICLE S CONTRACT TERMINATION <br /> A. This agreement may be terminated by either party with seven days written notice in the event of <br /> substantial failure of the other party to perform in accordance with the terms of the agreement. <br /> B. If terminated, Client agrees to pay Consultant for all services rendered and reimbursable <br /> expenses incurred to the date of termination. <br /> C. If terminated, Consultant shall have no liability as a result of termination. <br /> ARTICLE 9 DISPUTE RESOLUTION <br /> A. Client and Consultant a�ree to mediate claims or disputes arising out of or relating to the <br /> Agreement as a condition precedent to litigation. The mediation shall be conducted by a service <br /> acceptable to both parties and the parties agree to mediate in good faith. A demand fo1- <br /> mediation shall be made within a reasonable time after a claim or dispute arises and within times <br /> set by law. Mediation fees shall be shared equally. <br /> ARTICLE 10 U5E OF DOCUMENTS <br /> A. Client has the right to utilize Consultant's wark including drawings and other documents <br /> provided that the material is credited. <br /> B. Consultant has the right to include representations of the Project in its promotion and <br /> professional materials. <br /> 2 <br />
