9. To indemnify and hold harmless the City of Decatur, and its officers and its employees, from and against all liability, claims, demands and expenses, including court costs and attorney fees, on account of any injury, loss or damage which arise out of or are in any manner connected with the work to be performed under this Agreement, if such injury, loss or damage is caused in whole or in part by, or is claimed to be caused in whole or in part by the negligent acts, errors or omissions of PWC, any Subcontractor of PWC, or any officer, employee or agent of PWC. The obligations of this Section shall not apply to damages which the City of Decatur shall become liable by final judgment to pay to a third party as the result of the negligent act, error or omission of the City of Decatur, its officers, employees or agent of the City of Decatur. 10. To complete all work at a fee of $22,000 which includes all iterns of work. CITY OF DECATUR AGREES 1. To provide design criteria for the sidewalk schemes, paving schemes, etc. and to pay Massie and Massie for their services. 2. That this contract does not include any Construction Phase services. 3. To make payment within 30 days of invoicing with progress invoices submitted based on percentage of work completed.
