SECTION 546(C) FRANCHISE RENEWAL <br /> ADMINISTRATIVE HEARING <br /> INSIGHT COMMUNICATIONS ) <br /> MIDWEST,LLC ) <br /> ) <br /> Renewal Applicant ) <br /> ) <br /> v. ) <br /> ) <br /> CITY OF DECATUR, ILLINOIS ) <br /> ) <br /> Franchising Authority ) <br /> ) <br /> AGREEMENT TO HOLD ADMINISTRATIVE HEARING IN ABEYANCE <br /> The parties, the City of Decatur, Illinois, and Insight Communications Midwest, <br /> LLC, and their counsel, together with TCI of Indiana Holdings, LLC ("Comcast"), <br /> having conferred, hereby agree that, due to circumstances beyond their control, the <br /> Administrative Hearing scheduled to begin June 18, 2007, should be held in abeyance <br /> until a time that shall be set by the City and the Hearing Officer, taking into account the <br /> schedule of opposing counsel or until a time that shall be set by Comcast and the Hearing <br /> Officer, taking into account the schedule of opposing counsel. The City's needs <br /> assessment and Insight's Franchise Renewal Proposal shall not be modified or altered in <br /> any way as a result of the delay in the conduct of the Administrative Hearing. The <br /> witness lists and e�ibits already submitted by the parties may not be further modified or <br /> supplemented (unless a designated witness is no longer available or no longer in a <br /> position to present evidence). In the event that the Administrative Hearing proceeds after <br /> the transfer described in the pending Form 394 application frorrl Insight Communications <br /> Midwest, LLC, to Comcast, the parties agree that Comcast will be the successor-in- <br /> interest to Insight and as such will present the Franchise Renewal Proposal based solely <br /> 1023119v1 4 <br />
