maintenance and replacement reserve for purposes of the repair, maintenance and <br /> replacement of the Hotel, its furniture, fixtures, and equipment. Horve shall obtain <br /> Owner's written consent to any proposed expenditures intended to be charged to said <br /> fund, except in cases of emergency in which Horve shall report in writing to Owner the <br /> nature of and expense. <br /> Section 6. Horve and Owner agree that any repair, maintenance or replacement <br /> work done on the Hotel shall be made pursuant to the terms of a Project Labor <br /> Agreement ("PLA") and Horve shall indemnify and hold Owner harmless for any <br /> violations of such PLA. <br /> Section 7. If the maintenance and replacement fund reserve is exhausted, all <br /> expenses for repair, maintenance and replacement for the Hotel and its furniture, <br /> fixtures and equipment shall be paid from the revenues generated by the Hotel and <br /> Owner shall have no further obligation to fund such expenses. <br /> Section 8. Horve shall obtain and be responsible for all licenses and other <br /> authorizations needed to enable it to operate the Hotel, including but not limited to liquor <br /> licenses as may be required under the laws, rules or regulations of the City of Decatur <br /> and State of Illinois, as well as any licenses or permits required for the operation of the <br /> swimming pool and exercise facilities. <br /> Section 9. Horve or a professional employment organization shall employ all <br /> persons employed by the Hotel and shall pay out of operating expenses, the salaries, <br /> payroll and related taxes, insurance and benefits and any separation pay, costs, claims <br /> and expenses of all such employees.
