number of persons to be employed, the compensation or the benefits for said <br /> employees shall be the sole responsibility of Horve and Owner shall not interFere with or <br /> give any instructions or directives to any employees. Horve agrees to hold Owner <br /> harmless for any and all claims against it related to Horve's employment or the <br /> professional employment organization's employment of individuals and agrees to ' <br /> indemnify Owner for any and all claims asserted against it. <br /> Section 10. Horve shall indemnify and hold harmless Owner, its officers, <br /> directors, employees and agents from and against any and all claims, liabilities, losses, <br /> damages, costs and expenses of any kind or character, including without limitation, <br /> reimbursement of court costs, attorney's fees, expert witness fees, interest, damages or <br /> other fees incurred as the result of Horve's management, operation or maintenance of <br />' the Hotel includin but not limited to the o eration of the loun e and ool. <br /> 9 , p 9 p <br /> Section 11. In the event Owner enters into an agreement to sell the hotel to a <br /> person, partnership, corporation or other entity, other than Horve, Horve shall be <br /> entitled to Fifty Percent (50%) of the monies obtained through said sale in excess of <br /> $7,225,000.00 together with any costs incurred by Owner. <br /> ARTICLE II <br /> TERM <br /> Section 1. The Owner agrees to allow Horve to manage the Hotel, for a period of <br /> two (2) years, beginning from the date this Agreement is entered into unless terminated <br /> earlier as provided herein. <br /> 4 <br />
