AMENDMENT TO THE AGREEMENT <br /> BETWEEN <br /> THE CITY OF DECATUR, ILLINOIS <br /> AND <br /> CU TAXI / ILLINI TAXI <br /> This Amendment to the Agreement is made and entered into by and between the CITY <br /> OF DECATUR, ILLINOIS, a municipal corporation hereinafter referred to as the "City", <br /> and CU TAXI / ILLINI TAXI, an Illinois company authorized to do and doing business <br /> in the City of Decatur, hereinafter referred to as the"Cab Company". <br /> WHEREAS, the City and the Cab Company entered into an Agreement, effective as of <br /> June 1, 2005, with an expiration date of May 31, 2007; and <br /> WHEREAS, the Agreement specifies that"This Agreement may be extended at the sole <br /> discretion of the City for three (3) additional one (1)year terms (option years)"; and <br /> WHEREAS, the Agreement also states that fares to be charged to Operation Uplift <br /> participants during each option year"shall be negotiated between the parties prior to the <br /> commencement of the option year"; and <br /> WHEREAS, the City and the Cab Company desire to extend the term of the Agreement <br /> to May 31, 2008, with the fares proposed by the Cab Company. <br /> NOW THEREFORE, for and in consideration of the promises, covenants, agreements <br /> and conditions hereinafter set forth to be performed, kept and met by the respective <br /> parties hereto, the following sections of the Agreement are amended as follows: <br /> COMMENCEMENT AND TERM <br /> 1. This Agreement shall become and be effective as of July 1, 2005, and shall <br /> continue in effect through May 31, 2008, or until one party or the other shall give <br /> notice of its intention and desire to terminate the same, not less than sixty(60) <br /> days prior to the desired date of termination. <br /> 2. This Agreement may be extended at the sole discretion of the City for two (2) <br /> additional one(1) year terms (option years). The first option year shall begin on <br /> June l, 2008 and end on May 31, 2009; and the second option year shall begin on <br /> June l, 2009 and end on May 31, 2010. <br /> 3. The terms of this Agreement relating to the amount of fares charged to <br /> Operation Uplift participants during each option year, if exercised by the City, <br /> shall be negotiated between the parties prior to the commencement of the option <br /> year. <br /> - 1 - <br />
