AMENDMENT TO THE AGREEMENT <br /> BETWEEN <br /> THE CITY OF DECATUR, ILLINOIS <br /> AND <br /> FIRST TRANSIT, INC. <br /> This Amendment to the Agreement is made and entered into by and between the CITY <br /> OF DECATUR, ILLINOIS, a municipal corporation hereinafter referred to as the <br /> "CITY", and FIRST TRANSIT, INC., a Delaware corporation authorized to do and doing <br /> business in the City of Decatur,hereinafter referred to as "FIRST TRANSIT". <br /> WHEREAS, the CITY and FIRST TRANSIT entered into an Agreement, effective as of <br /> July l, 2004, with an expiration date of June 30, 2007; and <br /> WHEREAS, the Agreement specifies that"This Agreement may be extended at the sole <br /> discretion of the CITY for two (2) additional one (1)year terms (option years)"; and <br /> WHEREAS, the CITY and FIRST TRANSIT desire to extend the term of the Agreement <br /> to June 30, 2008. <br /> NOW THEREFORE, for and in consideration of the promises, covenants, agreements <br /> and conditions hereinafter set forth to be performed, kept and met by the respective <br /> parties hereto, the following Amendment to the Agreement is made. <br /> Section 4 of the Agreement shall be amended as follows: <br /> 4. COMMENCEMENT AND TERM <br /> The Effective Date of this Agreement is July l, 2004, regardless of the date of <br /> execution, and the Agreement shall continue from the Effective Date for a term of <br /> four (4) years from the Effective Date, ending at 11:59 p.m. (Central Time) on <br /> June 30, 2008. This Agreement may be extended at the sole discretion of the <br /> CITY for one(1) additional one (1) year term (option year). The option year shall <br /> begin on July 1, 2008 and end on June 30, 2009. This Agreement shall be <br /> automatically extended unless the CITY gives FIRST TRANSIT sixty (60) days <br /> written notice before expiration of the original or subsequent terms of the CITY's <br /> desire to terminate the contract. <br /> - 1 - <br />
