(i) Monitoring and keeping Cit,y of'Decatur apprised on a regular basis of all legislation, bills, amendments, and regulatory activiiy no��pending or proposed, or which may be proposed during the term hereof, in tlie Illinois state legislature or in any agency or department of the State of Illinois, pertaining to the business, products, repuiaiion or interests of City of llecatur or its subsidiaries; and (ii) Providing City of Decatur with information and guidance as to the matters described in subsection 2 (a) (i) and making recommendations as to appropriate actions which should be taken consistent with the objectives of this Agreement; and (iii) Lobbying efforts with Key legislative or regulaio�y c�fficials and their staffs, on matters pertaining to the business, products, reputation or interests of City of Decatur or its subsidiaries; and (iv) On instructions fi-om an authorized represent.ative designated under Section 5, undertaking such actions as City of Decatur may deem appropriate and consistent with the objectives of this Agreement, wl�ich actions shall include, but not be limited to, appearing and/or testifying at hearings and promote tl�e interests of City of Decatur and its subsid�aries with respect to matters and/or proceedings proposed or pending before legislative, administrative and/or executive governmental bodies. (b) ILLINOIS STRATEGIES shall provide City of Decatur, upon request, with written reports on its activities under this Aareement on a monthly basis. (c) ILLINOIS STRATEGIES shall maintain close liaison and frequent commwlicatiun with the authorized representatives designated under Section 5, particularly during critical periods or on priority items. 3. Compensation. (a) For and in consideration of ILLINOIS STRATEG�TS' performance of Services in accordance with the terms and conditions of tl�is Agreement, City of'Decatur shall pay ILLINOIS STRATEGIES a monthly retainer of'$2,500 per month. This agreement is valid through December 31, 2007. (b) It is understood and agreed that the compe��sation recited in subsection (a) includes usual and ordinary costs and expenses. If ILLINOIS STRAT�GIES detsrmines that there is a need to incur extraordinaty costs and expenses in the performances of Services hereunder, then in that event, Cit3� of Decatur shall reimburse ILLINOIS STRATEGIES for the same. provided the nature, amount and circumstances thereof are fully disclosed to and approved by an authorized representative designated under Section 5, prior to the time the same are incurred, and upon receipt of a detailed accounting�f all such estraordinary costs and eapenses. �
