(c) No part ol�the compensation paid to II.LINOIS STIL�TEGI�S under either <br /> subsection (a)or subsection (b) shall be used ior contributioi�s to support or oppose <br /> the nomination or election of any candidate for i'eder�l, state or local office, or for <br /> contributions to any political party, political commitiee, or ballot issue. <br /> 4. Relationship with Other Clients. <br /> In the event that a possible conflict of interest arises at any time dw�ing the term <br /> of this Agreement between the interests of City of Decatur or its subsidiaries and those <br /> of ILLINOIS STRATEGIES' other clients, ILLINOIS STRATEGIES agrees to <br /> notify City of Decatur thereof promptly and shall, if so directed by City of'Decatur, <br /> refrain from performing Services with respect to such area of conflicting interest. <br /> ILLINOIS STRATEGI�S agrees that City of Decatur shall have the righi to terminate <br /> this Agreement with respect to itself at a�ry time without liability upon written notice to <br /> ILLINOIS STRATEGIES if, in City of Decatur's sole judgment, upon reasonable <br /> basis, ILLINOIS STRATEGIES' representation of its other clients conflicts with the <br /> best interests of City of Decatur or its subsidiaries. <br /> 5. Authoj�ized Representatives. <br /> For the purposes of this agreement, Cit}� of Decatur's authorized representatives <br /> shall be as follows: Steve Garman, City Manager. City of Decatur may designate, fmm <br /> time to ti»�e, additional or substitute authorized representatives by written notice to <br /> ILLINOIS STRAT�GIES. ILLINOIS S1'RATEGIES' primar-y contact will be ,►ulie <br /> Curry. ILLINOIS STRATEGIES' authorized representatives shall be: F. John Potts. <br /> Julie Curry and Molly Rockford. ILLINOIS STRATEGIES may designate such oth�r <br /> additional or substitute authorized representatives who are acceplable to City of <br /> Decatur, such acceptance not to be unreasonably withheld. <br /> 6. Compliance with State and Federal Laws. <br /> We both recognize and agree that it has been fille other's long-standing policy to <br /> comply fully with all applicable federal, state and local laws regulating corporate <br /> political and lobbving activities, and each of us agree�that we will fully comply with all I <br /> applicable laws, decrees, rules. regulations, orders, ordinances, actions and requests of <br /> any federal, state or local governmental or judicial body, agency or official pertaining to <br /> its performing Services. <br /> 7. Indemnification. <br /> (a) ILLINOIS STRATEGIES will assume full responsibility for and shall indemnify <br /> and hold harmless City of llecatur and its subsidsaries and their directors, officers, <br /> employees and agents, from and against any and all losses, ciaims, liabilities, <br /> penalties, fines, causes of action, damages, costs and eYpenses (including reasonable <br /> attorneys' fees and expenses) arising out of or resulting fron; anv negligence or <br /> wrongful br willful misconduct on the part of ILLINf�1S STI2ATEGIES or any <br /> breach b�� ILLINOIS STRATEGI�S of an�- of the terms and provisions of this <br /> Agreement. <br /> 3 <br />
