AGREEMENT <br /> BETWEEN <br /> THE CITY OF DECATUR, IL <br /> AND <br /> MACON RESOURCES, INC. <br /> THIS AGREEMENT, entered into this f��l day of`T�►�u , 2007, by and between THE <br /> CITY OF DECATUR, IL (hereinafter referred to as the "City") and MACON RESOURCES, <br /> INC., (hereinafter referred to as "Macon Resources"). <br /> WHEREAS, the City is seeking a firm with professional expertise to provide assistance in <br /> developing specific ADA eligibility standards for persons with disabilities who qualify for door- <br /> to-door paratransit services, and <br /> WHEREAS, the City is also seeking a firm with professional expertise to provide rider eligibility <br /> determination services on an ongoing basis for persons with disabilities who apply for door-to- <br /> door paratransit services. <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> 1. SCOPE OF MACON RESOURCES' SERVICES <br /> Macon Resources shall perform for the City the services described in Appendix A, "Scope of <br /> Work,"which is attached to and made a part of this Agreement. <br /> 2. PERSONNEL <br /> All services provided by Macon Resources under this Agreement shall be performed by fully <br /> qualified and trained personnel employed by Macon Resources, which is solely responsible for <br />� the hiring and assignment of personnel to this project. All personnel assigned to the project shall <br /> have received training as specified by the City under this Agreement. The City shall not <br /> reimburse Macon Resources for the services of personnel who have not received the required <br /> training. <br /> 3. NON-ASSIGNMENT <br /> Macon Resources shall not assign nor sublet any of the work to be performed under this <br /> Agreement without the express written consent of the City, and any such assignment or <br /> subletting, whether expressly authorized by this Agreement or done with such consent, shall not <br /> relieve Macon Resources from its responsibility for the performance of its work hereunder in <br /> accordance with the terms hereof nor from its responsibility for the performance of any other of <br /> its obligations hereunder. <br /> 1 <br />
