Settlement shall occur on or before December 25, 2006, as may be <br /> mutually agreed by the parties. <br /> 12. Upon closing, Archway shall vacate the premises no later than August <br /> 1, 2007. At closing, Archway shall execute a lease upon the premises, for and in <br /> consideration of One Dollar ($1.00), to lease the premises until August 1, 2007. <br /> Archway shall carry acceptable forms of casualty insurance protecting the <br /> building and contents of the structure during this period, naming the City as <br /> additional insured. The City shall bear no liability for the loss or damage of <br /> contents due to fire, ftood, natural disaster, war or other force majeure event not <br /> caused by the willful actions of the City, its agents or assigns. <br /> 13. If any section, terms or provisions of this Agreement or the application <br /> thereof shall be held to be invalid or unenforceable, the remainder of each <br /> section, subsection, term or provision of this Agreement or the application of the <br /> agreement to the parties, shall not be affected thereby. <br /> 14.
