CLA Wealth Advisors,its successors,affiliates,officers and employees do not assume or undertake any duty to perform or to be responsible in any way for any such duties, requirements or obligations. INFORMATION RE7ENTION � We agree to retain the documents, information and data you supplied to us or that we develop until " seven (7}years after we provide you with our final bill under this agreement. OTHER Assi nm�ent. Neither party shall be permitted to assign this Agreement or any of its rights and obligations pursuant to this Agreement,in whole or in part,without the prior written consent of the other. Force Maieure. Each party shall bear their own risk of a Force Majeure event disrupting their ability to fulfill their obligations under this Agreement. No Joint Venture. Nothing contained in this Agreement will be deemed or construed as creating a joint venture or partnership between the parties. Except as expressly set forth in this Agreement, no party is by virtue of this Agreement authorized as an agent, employee or legal representative of the other party, and the relationship of the parties is,and at all times will continue to be,that of independent contractors. Publicity. Neither party may use in advertising,publicity or otherwise(including on the Internet)the �I name of the other, or any trademark,trade dress,service mark,trade name,symbol or any abbreviation � or contraction thereof without its prior express written consent,which consent may be withheld or withdrawn in the party's absolute discretion. This agreement will remain in effect until it is terminated by either party on thirty(30) days'written notice,with or without cause. In the event of termination,the 7erms of Engagement shall survive and remain in effect. This agreement contains the entire agreement and understanding between us and any prior proposals,communications,agreements and negotiations between us are merged into and replaced by this agreement,which may not be modified except in a writing signed by both parties. In the event that any provision of this agreement shall be deemed invalid or unenforceable,then the remainder of this agreement shall remain in force and effect. In the event of any Dispute,this agreement shall be governed by the laws of the State of Illinois,without giving effect to any choice of law principles. Page 3 of 4
