4) Attend one meeting in person on a mutually agreeable date to present findings to management <br /> (City Manager and Finance Director). <br /> , MANAGEMENT RESPONSIBILITIES 4 <br /> For all nonattest services we may provide to you, including these consulting services, management <br /> agrees to assume all management responsibilities;oversee the services by designating and individual, <br /> preferably within senior management,who possesses suitable skill, knowledge, and/or experience to <br /> understand and oversee the services;evaluate the adequacy and results of the services;and accept <br /> responsibility for the results of the services. Specifically,Gregg Zientara, Finance Director,will be the <br /> management member responsible for these services. <br /> PROFESSIONAL FEES <br /> The one-time fee for the above services will be$14,000,payable on December 15, 2015. <br /> DtSPUTE RES�LUTION <br /> The parties agree to meet and confer in good faith on all matters of common interest or all <br /> controversies,claims,or disputes("Dispute")which materially affect the performance of either party <br /> under this Agreement. As soon as a Dispute is recagnized by either party, it will communicate the <br /> substance of such Dispute pursuant to the Notices section of this Agreement. Once a Dispute has been <br /> raised,the parties will make all reasonable efforts to reach a resolution within thirty(30)days after one <br /> party has notified the other of the Dispute. If the parties fail to reach a resolution of the dispute within <br /> that time,either is free to seek whatever legal or equitable relief may be available to them under the <br /> applicable governing law. <br /> CONFIDENTIAUTY <br /> We will hold the information supplied by you to us in con�dence and we will not disclose it to any other <br /> person or party, unless you authorize us to do so, it is published or released by you,or it becomes <br /> publicly known or available other than through disclosure by us. This confidentiality provision does not <br /> prohibit us from disclosing your information to one or more of our affiliated companies in order to <br /> provide services that you have requested from us or from any such affiliated company. Any such <br /> affiliated company shall be subject to the same restrictions on the use and disclosure of your <br /> information as apply to us. <br /> LEGAL COMPLIANCE <br /> CLA Wealth Advisors represent that it is in compliance with all applicable state and federal laws, rules <br /> and regulations. <br /> You agree to assume sole responsibility for full compliance with all applicable federal and state laws, <br /> rules or regulations and reporting obligations that apply to you or your business, including the accuracy <br /> and lawfulness of any reports you submit to any government regulator,authority or agency.
