Authority and a corporate trustee to be deternuned (the "Trustee") under which the Bonds will <br /> be issued and secured; and <br /> WxEx�As, it is now necessary, desirable and in the best interests of the City to authorize <br /> the execution and delivery in connection with the Bonds of an Origination and Servicing ' <br /> Agreement (the "Origination Agreement") among the City, the Authority, Mortgage Clearing � <br /> Corporation (the "Servicer") and each of the participating mortgage lenders which are to be <br /> signatories thereto (the `Zenders"); and <br /> WxExEAs, it is now necessary, desirable and in the best interests of the City to authorize <br /> the execution of an Intergovernmental Agreement (the "Intergovernmental Agreement")between <br /> the Authority and the City; and <br /> WHEREAs, it is now necessary, desirable and in the best interests of the City to authorize <br /> the execution and delivery of a Supplement to Origination Agreement and Indenture (the <br /> "Supplement") among the City, the Authority, the Trustee, the Servicer and the Lenders <br /> providing for specific tern�s relating to the Bonds; and <br /> WxExEAs, it is now necessary, desirable and in the best interests of the City to authorize <br /> the execution and delivery of a Compliance Agreement (the "Compliance Agreement") among <br /> the City, the Authority, the Trustee and Mortgage Clearing Corporation, as Compliance Agent, <br /> providing for the monitoring of compliance with the requirements of the Origination Agreement; <br /> and <br /> W��AS, it is now necessary, desirable and in the best interests of the City to authorize <br /> the execution and delivery of a Bond Purchase Agreement (the "Purchase Agreement") with <br /> respect to the sale of the Bonds between the City, the Authority and Stephens Inc.
