Description of Services to be provided <br /> Services: The Signature Consulting Group agrees to provide the following <br /> consulring services for the CITY: <br />, 1. Represent the City at meetings relating to the HUD 11�I'zxed Finance Evidentiary <br /> process. <br /> 2. Review, negotiate or draft, if required, any of all HUD's ll�iixed Finance Evidentiary <br /> materials,from the stand-point of protecting the City s interest,• including but not <br /> limited to: <br /> o Review Ownership structure for mixed-finance renta.l and homeownership <br /> (LP, GP). <br /> o Review Develop Organizational Documents of the owner <br /> o Review the Limited Partnership Agreement <br /> o Review the Regulatory and Operating Agreement <br /> o Coordinate/draft all mixed-fmance legal evidentiary documents required <br /> from the City including loan documents, and other regulatory agreement <br /> required of the City <br /> o Negotiate with HUD on behalf of the City <br /> o Review legal structure for ensuring the long-term affordability of the <br /> affordable units <br /> o Review the Management Agreement. <br /> o Review the financial structuring(e.g., LIHTC, tax-exempt bonds). <br /> o Review Property ManagementlReoccupancy documents <br /> o Review management policies including community rules, lease, orienta.tion, <br /> application process, etc. <br /> o Review long-term management plan. <br /> o Review documenta.tion for on-going compliance. <br /> o Review Asset Management(PHA Ongoing Regulatory and Compliance <br /> Responsibilities <br /> o Review, negotiate and draft of any applicable HUD's Muced Finance submission, <br /> required of the City. <br />
