� a EXCLUSIVE DISPOSAL AGREEMENT This Agreement made this 19th day of July 2004, by and between Evans Recycling, Inc. ("Evans") its successors, agents and assigns AND the City of Decatur("City"). , WHEREAS, it is agreed and understood by the parties that Evans operates a composting ' facility known as the Decatur/Macon County Composting Facility. WHEREAS, City collects and transports recyclable materials suitable for composting. WHEREAS, the parties agree that there exists certain economies of scale in the collecting, transporting, depositing and composting of certain recyclable material. WHEREAS, the parties agree that among the purposes of this agreement is to facilitate accessibility of composting materials for recycling and to reasonably minimize the costs of collecting, transporting, depositing and composting of certain recyclable material. WHEREAS, this agreement reasonably protects lawful business interests of each of the parties and the parties believe this agreement to be reasonable in time, place and terms and further insures a benefit to the community by providing a reasonable outlet for recyclable materials at a fair and reasonable price. For and in consideration of the provisions set forth herein, Evans and City agree as follows: l. The term of this agreement shall be from the 20th day of July 2004 until the 19th of July 2007. 2. During the term of this agreement, the City shall transport all recyclable materials suitable for composting which are or collected or transported by City within the Illinois county of Macon to Evans' composting facility.
