Decatur, IL 625�1 RE: ASSIGNMENT OF CONTRACT Contract with Decatur TaYi, Inc. to provide paratransit service to the Decatur Public Transit System Dear Mr. Gillespie, The City of Decatur has been requested to consent to an assignment of the above referenced contract from Decatur Taxi, Inc., to Decatur Transportation. The sale of Decatur TaYi to Decatur Transportation became effective on Apri121, 2004 (the "Closing Date"). Pursuant to such request, the City hereby consents to the assignment by Decatur Taxi, Inc., of its ri�hts, title and interest in the above contract to Decatur Transportation. Pursuant to this assignment, any and all obligations and liabilities under the contract relating to performance under the contract up to and including the day prior to the Closing Date shall remain the liability of Decatur Taxi, Inc. Any and all future obligations and liabilities under the contract relating only to performance under the contract as of and including the Closing Date shall be assumed by Decatur Transportation, as a result of Decatur Transportation performing those services under the contract. Accordingly, Decatur Transportation shall also have the rights to enforce the obligations of Decatur Taxi, Inc., relating to the obligations that the City has under that contract, as of and including the Closing Date. All unpaid fees that relate to work under the contract before the Closing Date shall be paid to Decatur TaYi, Inc. YV1�SL`�.
