7. RIGHTS OF THE CITY AND THE CONTRACTOR A. This Agreement applies to the Transit System properties now owned by the City. The City reserves the right to add to, or to eliminate properties, without permission from the Contractor. In the event of such addition or elimination of properties, the City shall notify the Contractor at least 30 (thirty) days in advance in order for the Contractor to prepare for the change. B. The City hereby grants the Contractor the right to select products,brands and sizes to be sold, and to set and control the prices of all items. The Contractor agrees to furnish the City with a complete list of items being offered for sale and the prices in effect at any time, upon request. C. The City hereby grants the right to duly authorized and properly identified representatives of the Contractor to enter upon City property, during normal and usual business hours or at other times agreed to by the City, for the purpose of performing any work or service necessary for the normal operation of the vending machines under this Agreement. D. The Contractor agrees to permit any accredited representative of the City, at any time during normal and usual business hours or at other times agreed to by the Contractor, to inspect and examine the books and records of the Contractor. E. The Contractor shall not post advertising of any kind in or on its vending machines, other than advertising for items offered for sale in the machines. The City shall permit advertising of any kind inside of, or attached to the surfaces of, the Contractor's vending machines if it is for items offered for sale in the machines. 8. TERNIINATION OF AGREEMENT A. Termination for Cause -Either party to this Agreement has the right to terminate this Agreement at any time in the event that the other party has failed to comply fully with the terms and conditions contained herein. The party wishing to terminate shall deliver written notice of its intent to terminate at least 60 (s�ty) days prior to the actual date of termination. B. Termination for Convenience -This Agreement may be terminated by the City for any reason at any time. Any such termination shall be effected by delivery to the Contractor of a written notice of intent to terminate specifying the extent to which performance of work , under the Agreement is terminated, and the date upon which such termination becomes effective. Such notice of termination shall be delivered to the Contractor at least 60 (sixty) days prior to the effective date of such termination. ' -4 - I�
