7. RIGHTS OF THE CITY AND THE CONTRACTOR <br /> A. This Agreement applies to the Transit System properties now owned by the City. The <br /> City reserves the right to add to, or to eliminate properties, without permission from the <br /> Contractor. In the event of such addition or elimination of properties, the City shall notify <br /> the Contractor at least 30 (thirty) days in advance in order for the Contractor to prepare for <br /> the change. <br /> B. The City hereby grants the Contractor the right to select products,brands and sizes to be <br /> sold, and to set and control the prices of all items. The Contractor agrees to furnish the City <br /> with a complete list of items being offered for sale and the prices in effect at any time, upon <br /> request. <br /> C. The City hereby grants the right to duly authorized and properly identified representatives <br /> of the Contractor to enter upon City property, during normal and usual business hours or at <br /> other times agreed to by the City, for the purpose of performing any work or service <br /> necessary for the normal operation of the vending machines under this Agreement. <br /> D. The Contractor agrees to permit any accredited representative of the City, at any time <br /> during normal and usual business hours or at other times agreed to by the Contractor, to <br /> inspect and examine the books and records of the Contractor. <br /> E. The Contractor shall not post advertising of any kind in or on its vending machines, other <br /> than advertising for items offered for sale in the machines. The City shall permit advertising <br /> of any kind inside of, or attached to the surfaces of, the Contractor's vending machines if it is <br /> for items offered for sale in the machines. <br /> 8. TERNIINATION OF AGREEMENT <br /> A. Termination for Cause -Either party to this Agreement has the right to terminate this <br /> Agreement at any time in the event that the other party has failed to comply fully with the <br /> terms and conditions contained herein. The party wishing to terminate shall deliver written <br /> notice of its intent to terminate at least 60 (s�ty) days prior to the actual date of termination. <br /> B. Termination for Convenience -This Agreement may be terminated by the City for any <br /> reason at any time. Any such termination shall be effected by delivery to the Contractor of a <br /> written notice of intent to terminate specifying the extent to which performance of work , <br /> under the Agreement is terminated, and the date upon which such termination becomes <br /> effective. Such notice of termination shall be delivered to the Contractor at least 60 (sixty) <br /> days prior to the effective date of such termination. ' <br /> -4 - I� <br />
