substantially similar to the exemplar provided herewith as Exhibit G. <br /> 17. Licenses and Authorizations. Throughout the term of this Agreement, <br /> Prairieland shall, at all times, maintain all licenses, permits and authorizations required by law or <br /> regulation applicable to Prairieland and its operations. <br /> 18. Indemnification. Prairieland hereby agrees to indemnify the City from any <br /> and all loss or losses associated with, relating to, or arising from any act or omission of <br /> Prairieland in the towing and/or storage of vehicles as set forth within this Agreement. This <br /> provision shall not be assignable to or enforceable by any company authorized or permitted to <br /> provide insurance in the State of Illinois by way of subrogation or otherwise. The <br /> indemnification required by this Section shall not apply to situations or incidents where the City <br /> directs the release of a vehicle as permitted by § 16 hereof. <br /> 19. Abandoned Vehicles. Vehicles determined to have been abandoned within <br /> the jurisdiction of the City and in the public right-of-way shall be towed by Prairieland, and the <br /> City shall not be liable or charged for any cost, charge or expense incurred therefor. Prairieland <br /> may apply for title to such abandoned vehicle pursuant to applicable laws and regulations, and <br /> the City will cooperate with Prairieland in its application for such title. <br /> 20. Exclusion of Emplovees. At the time of execution hereof, Prairieland <br /> maintains a procedure whereby the Illinois State Police approves Prairieland employees for <br /> towing services on behalf of the Illinois State Police, and Prairieland agrees that no employee of <br /> Prairieland who is not authorized to provide towing services at the request of the Illinois State <br /> Police shall provide towing services hereunder. Prairieland shall not permit or allow any <br /> individual employee thereof to provide towing services under the terms of this Agreement which <br /> individual has been convicted of a felony within the preceding five (5) years or who has <br /> reporting obligations as a sex offender pursuant to the Sexually Dangerous Persons Act, 725 <br /> ILCS 205/0.01, et seq. The City agrees that it will not impose stricter or more stringent <br /> standards for eligibility of Prairieland employees than as set forth herein. <br /> 21. No Assignment. Neither this Agreement nor any right or interest created <br /> hereby shall be subject to assignment by either party hereto absent written consent by the other <br /> party, and any attempt or purported assignment, without said written consent by the other party <br /> hereto, shall be null, void and of no effect whatsoever. <br /> 22. Meetin�s. The parties agree to meet and discuss this Agreement and the <br /> provision of services hereunder on a quarterly basis as scheduled by the City with the provision <br /> of at least fourteen(14) days notice to Prairieland. <br /> 23. Term.
