The sale of the Consulting Division of <br /> Multisystems, Inc. to TranSystems will be consummated and become effective on or about June <br /> 28, 2003 (such actual date of consummation,herein the"Closing Date"). <br /> Pursuant to such request, we hereby consent to the assignment by Multisystems, Inc. of its rights, <br /> title and interest in the above contract to TranSystems. Pursuant to this assignment, any and all <br /> obligations and liabilities under the contract relating to�performance under the contract up to and <br /> including the day prior to closing of the aforementioned asset sale shall remain the liability of <br /> Multisystems, Inc. Any and all future obligations and liabilities under the contract relating only to <br /> performance under the contract as of and including the Closing Date shall be assumed by <br /> TranSystems as a result of TranSystems performing those services under the contract. <br /> Accordingly, TranSystems shall also have the rights to enforce the obligations of Multisystems, <br /> Inc. relating to the obligations that you have under that contract for as of and including the Closing <br /> Date.
