Anderson <br /> Decatur, Illinois 62523 <br /> Attn: Steven Garman, City Manager <br /> If to Contractor, to: <br /> East Lake/Decatur, LLC <br /> c/o East Lake Management & Development Corp. <br /> 2850 South Michigan Avenue <br /> Suite 100 <br /> Chicago, Illinois 60616 <br /> Attn: Eileen Rhodes, Director of Development <br /> All such notices and other communications shall be deemed given on the date of personal or <br /> local courier delivery, telecopy transmission, delivery to overnight courier or express delivery <br /> service, or deposit in the United States Mail, and shall be deemed to have been received (i) in <br /> the case of personal or local courier delivery, on the date of such delivery, (ii) in the case of <br /> telecopy, upon receipt of electronic confirmation thereof(provided that the sender shall have <br /> given simultaneous notice by another method approved herein), (iii) in the case of delivery by <br /> overnight courier or express delivery service, on the date following dispatch, and (iv) in the case <br /> of mailing, on the date specified in the return receipt therefor. <br /> 11. Assi�nment. This Agreement may not be assigned by any party without the prior written <br /> consent of the other party. <br /> 12. Interpretation and Governing Law. This Agreement shall not be construed against the <br /> party who prepared it but shall be construed as though prepared by both parties. This <br /> Agreement shall be construed, interpreted, and governed by the laws of Illinois. Venue <br /> shall lie in Illinois. <br /> 13. Parties Bound. No partner, officer, director, shareholder, employee, agent, or other <br /> person authorized to act for and on behalf of either party shall be personally liable for any <br /> obligation, express or implied, hereunder. <br /> 14. Final Agreement. Unless otherwise provided herein, this Agreement and the <br /> Development Agreement constitute the final understanding and agreement between the <br /> parties with respect to the subject matter hereof and supersedes all prior negotiations, <br /> understandings and agreements between the parties, whether written or oral.
