Article 12 <br /> Entire Agreement <br /> This Agreement constitutes the entire agreement between the parties. No <br /> previous or subsequent oral or implied representations, agreements or understandings shall <br /> vary its terms and it may be amended only by an instrument in writing subsequently <br /> executed by the parties. <br /> Article 13 <br /> Severabiliri <br /> If any term, covenant or condition of this Agreement or the application <br /> thereof to any person or circumstance shall to any extent be invalid or unenforceable, the <br /> remainder of this Agreement or the application of such term, covenant or condition to <br /> persons or circumstances other than those to which it is held invalid or <br /> unenforceable shall not be affected thereby and each term, covenant and condition of this <br /> Agreement shall be valid and shall be in force. <br /> Article 14 <br /> Notices <br /> Any notice, demand or other communication which either parry may desire <br /> or may be required to give to the other party shall be in writing and shall be given if and <br /> when personally delivered, or upon receipt after deposit in the U.S. mail, registered or <br /> certified, postage prepaid, return receipt requested, addressed as set forth below, or at <br /> such other address as the party to receive such notice may have designated to the other <br /> party by notice in accordance herewith. <br /> 10 <br />
