MUNIS will increase the annual Application Software Maintenance Fees by the lesser of i)the actual increase imposed by MiJNIS on other Mi)NIS clients, or ii) 8%per year, for the first four(4)renewals of the Maintenance Agreement. 37. The Application Software License Fees in the Payment Terms herein have been discounted$19,375 off MLTNIS'current published pricing. 38. MUNIS and Client are interested in Client being a beta site for the Executive Information System MUNIS Software Product("EIS"). MUNIS and Client will mutually develop a document separate from this Agreement setting forth each party's rights and responsibilities regarding EIS. � 39. MLJNIS will modify the Purchase Orders application by July 31, 2004 to accommodate recurring purchase orders, at no charge to Client beyond the Application Software Maintenance Fees set forth herein. 40. In the event an Escrow Agreement between MLTNIS and DSI Technology Escrow Services is not executed prior to installation of the software products,MLTNIS will provide to Client the source code for the MiJNIS software products licensed herein, at no charge to Client("Source Code"). Wh the Escrow Agreement is so executed, Client shall return all Source Code to MLJNIS. Client may not reverse engineer, disassemble, decompile, or otherwise modify the Source Code without MiJNIS'prior written permission. , Notwithstanding anything to the contrary herein, subject to Addendum A Item 7,Client shall have the right to use the Source Code for the sole purpose of continuing the benefits afforded to Client by this Agreement upon the occurrence of i)MLTNIS' failure to carry out obligations imposed on it pursuant t this Agreement and/or ii)MUNIS' failure to continue to do business in the ordinary course. i I � �—-- ------� __�—_-- --- ---- — - - — Addendum A P.9
