17 . AssiQnment. HBHC may assign its rights under this Lease <br /> for collateral purposes to First of America Bank-Illinois, N.A. , <br /> its successors and assigns (the "Bank") to secure the Reimbursement <br /> Obligations, as defined in that certain Reimbursement Agreement <br /> dated as of May 1, 1997, between HBHC and the Bank. The City <br /> hereby consents to such an assignment and agrees to (a) give the <br /> Bank notice of HBHC' s default under the Lease and permit the Bank <br /> thirty (30) days to cure; (b) give the Bank notice of HBHC failure <br /> to renew any successive term of the lease and permit the Bank <br /> thirty (30) days to make such election, provided it, its successors <br /> or assigns are the mortgagee of HBHC; and (b) recognize the Bank as <br /> the Lessee of the parking spaces in the event the Bank exercises <br /> its rights under the assignment and succeeds to the rights of HBHC <br /> hereunder, in which event the Bank shall become liable for all of <br /> the obligations of the Lessee commencing on the date the Bank takes <br /> possession of the parking spaces . <br /> However, it is expressly understood that in no event shall the <br /> parking spaces leased hereby be assigned to or controlled by any <br /> person, firm or corporation that does not own or lease the building <br /> located at 151 North Main Street, Decatur, Illinois, and any such I <br /> assignment shall cause this Lease to be null and void. <br /> 18 . Amendment. No amendment of this lease shall be valid <br /> unless made in writing and signed by HBHC and an authorized agent <br /> of the City. <br /> -8- <br />
