Ameritech CompleteLink Agreement �.Q`_�i�i �JAmeribech This is an Agreement between CITY OF DECATUR ("Customer") and Ameritech Information Systems,Inc.as an agent for: (Select Only One Company) ❑ Indiana Bell Telephone Co.,d/b/a Ameritech Indiana � Illinois Bell Telephone Co.,d/b/a Ameritech Illinois ❑ Michigan Bell Telephone Co.,d/b/a Ameritech Michigan ❑ Ohio Bell Telephone Co.,d/b/a Ameritech Ohio ❑ Wisconsin Bell Telephone Co.,d/b/a Ameritech Wisconsin (hereinafter referred to collectively and individually as "Ameritech"). CompleteLink and CompleteLink Select (hereinafter referred to collectively and individually as "CompleteLink")are offered pursuant to tariffs filed with the appropriate state public service commission.Customer's selection of CompleteLink or CompleteLink Select is indicated on Attachment A of this agreement.Customer must select one of its telephone accounts as its "Main Billing Telephone Number"by specifying the account as such on Attachment B hereto,incorporated by reference herein,and this Agreement shall be governed by the laws,rules and regulations of the state in which that Main Billing Telephone Number is installed,including,but not limited to,the tariff(s)applicable to this CompleteLink product which are filed with that State's public utilities commission. In the event the designation above is not the one which provides the local telephone service to Customer's Main Billing Telephone Number,the above indication is hereby superceded,and the Ameritech company which provides the local service to the Main Billing Telephone Number is inserted in its place without affecting the validity or the enforcement of this Agreement. 1.0 Term: This Agreement is effective on the date signed by the Ameritech Authorized Representative(not the signature of Ameritech's sales representative), and the term of this Agreement commences the day after the Service is "activated"by Ameritech at all customer"Business Locations" (as hereinafter defined),and shall continue for the term specified by Customer on Attachment A hereto, incorporated by reference herein. The date "activated" shall be the date the order installing the plan is completed in the Ameritech billing system. 2.0 Service Description: Ameritech CompleteLink is a volume discount plan,and it is fully described in the applicable tariff(s). Under this Agreement,the Customer is subscribing to CompleteLink,and the MARC(as defined hereinafter)selected by Customer hereunder may be satisfied by the Ameritech billings on the telephone accounts which aze specified under Attachment B. Customer herein agrees that its subscription to CompleteLink is a commitment to a minimum level of purchase of certain Ameritech services provided those services are billed to the telephone accounts under Attachment B. Based on the volume purchase commitment selected by Customer hereunder,Customer receives CompleteLink discounts on some Ameritech services; the Ameritech products are eligible for discount under the CompleteLink Plan aze listed in the CompleteLink tariff(s)(hereinafter referred to herein as"Discount Eligible Services").Customer's subscription to CompleteLink is not a subscription to the Ameritech products or services which are Discount Eligible Services or to those Ameritech products which contribute to the satisfaction of any minimum purchase volume. 3.0 Minimum Annual Revenue Commitment(MARC): The CompleteLink minimum purchase levels agreed to by Customer are known as MARC(Minimum Annual Revenue Commitment),MATUC(Minimum Annual Toll Usage Commitment),and MATUBCC(1)(Minimum Annual Toll Usage and Band C Commitment). The manner in ' which the MARC and MATUC are satisfied is set forth under the CompleteLink tariff. The Telephone Accounts specified under Attachment B are the only Ameritech billings which will contribute to the satisfaction of the MARC and MATLTC. Customer herein selects the minimum purchase levels,and is entitled to receive the discounts associated with the MARC commitment level. Under this Agreement,the Customer may include their Ameritech local Telephone Accounts in the states of Illinois,Indiana,Michigan,Ohio and Wisconsin under Attachment B. If on an annual basis Customer's actual billings on the designated accounts for the relevant services does not equal or exceed the amount of MARC committed to herein,Customer is liable for an Under Utilization (1)The term "MATUBCC" applies only in the metropolitan Chicago area which is served by Ameritech Illinois and includes both Toll and Band C Usage to reach the Customer's Toll Sub-commitment.
